SBA Acquisition Financing & Financial Modeling Specialist

VeriFee is acquiring multiple companies under a structured roll-up model. We intend to leverage SBA 7(a) financing to fund these acquisitions, capitalizing on the latest SBA procedural changes that enable unique financing for business expansions within the same NAICS code.

Role Overview

We’re seeking an experienced SBA Financing Consultant / Financial Modeler to:

  • Develop acquisition models and deal structures that qualify under the SBA 7(a) program.

  • Prepare lender-ready financial packages, including pro forma statements, DSCR analysis, and post-acquisition projections.

  • Lead SBA requirements and application processes for multiple acquisitions.

  • Identify the optimal lender or lending partner for our specific structure.

This is a contract or project-based engagement, with potential for ongoing work as we scale acquisitions.

Key Responsibilities

  • Build dynamic financial models (Excel or Google Sheets) reflecting acquisition scenarios (purchase price, loan terms, cash flow, DSCR, etc.).

  • Prepare and refine lender submission materials, including:

    • Executive summary / acquisition memo

    • Combined historical and pro forma financials

    • Owner resumes, PFS, and SBA Form 1919 guidance

  • Review purchase agreement and seller note structure for SBA compliance.

  • Advise on loan packaging strategy to qualify as a “business expansion” (same NAICS code, identical ownership).

  • Interface with or recommend SBA-preferred lenders experienced in M&A and recurring-revenue businesses.

Ideal Candidate

  • Proven experience preparing or closing SBA 7(a) acquisition loans (preferably in services, SaaS, or fintech sectors).

  • Strong grasp of SBA SOP 50 10 7.1 / 8 and Procedural Notices (esp. 5000-846607 and 5000-872764).

  • Skilled in financial modeling, cash flow analysis, and DSCR testing.

  • Understanding of ISO/merchant portfolio structures or payment processing models (a huge plus).

  • Excellent communicator — able to explain complex financing mechanics in plain business terms.

  • Experience liaising with lenders such as Live Oak, ReadyCap, or Byline Bank is a bonus.

Deliverables

  1. Financial model for first acquisition, with editable assumptions (loan amount, terms, valuation, DSCR).

  2. Lender package (ready for submission) including business plan summary, projections, and borrower profiles.

  3. Advisory roadmap outlining next steps to secure SBA pre-approval and structure future acquisitions.

Project Scope

  • Estimated duration: 4–6 weeks for initial project

  • Engagement: Fixed-price or hourly (depending on experience)

  • Potential for ongoing consulting as VeriFee scales acquisitions
